賣方應(yīng)在每個(gè)貨箱上用不褪色油漆標(biāo)明箱號(hào)、毛重、凈重、尺寸、合同號(hào)、目的港、收貨人編號(hào)并書以“防潮”、“小心輕放”、“此面向上”等字樣和裝運(yùn):。
第五條:交貨條件:
FOB/CFR/CIF/ 。 除非另有規(guī)定“FOB”,“CFR”和“CIF”均應(yīng)依照國(guó)際商會(huì)制定的《國(guó)際貿(mào)易術(shù)語(yǔ)解釋通則》(INCOTERMS1990)辦理。

該信用證適用UCP500/UCP600/的規(guī)定 (2)托收(D/P或D/A)支付:

買方在收到賣方依本合同第十一條規(guī)定提交的裝運(yùn)單據(jù)后 日內(nèi),以電匯/信匯方式支付貨款。
(4)直接付款:
買方收到賣方裝運(yùn)單據(jù)后天內(nèi),以航郵向賣方支付貨款。 第十一條.單據(jù):
(1) 賣方按照以下不同運(yùn)輸方式向買方提供相應(yīng)單據(jù): A、海運(yùn):
全套清潔海運(yùn)提單,標(biāo)明“運(yùn)費(fèi)付訖”/“運(yùn)費(fèi)預(yù)付”,作成空白背書并加注目的港________ 公司。
B、空運(yùn):
空運(yùn)提單副本一份,標(biāo)明“運(yùn)費(fèi)付訖”/“運(yùn)費(fèi)預(yù)付”,寄交買方。

A、a、由買方負(fù)責(zé)按照合同規(guī)定的交貨日期租船訂艙。

辦理租船訂艙事宜。
B、賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前天,用電報(bào)/信件將合同號(hào)、品名、數(shù)量、價(jià)值、箱號(hào)、毛重、裝箱尺碼和貨抵裝運(yùn)港日期通知買方,以便買方租船訂艙。
C、買方應(yīng)在裝船期前 日通知賣方船名、預(yù)計(jì)裝船日期、合同號(hào),以便賣方安排裝運(yùn),要求賣方與船方代理保持密切聯(lián)系。
D、如果有必要改變裝運(yùn)船只或者其到達(dá)日期,買方或其運(yùn)輸代理應(yīng)及時(shí)通知賣方。
E、如果船只不能在賣方通知的船期后 日內(nèi)到達(dá)裝運(yùn)港,買方應(yīng)承擔(dān)從第 日起發(fā)生的貨物倉(cāng)儲(chǔ)保管費(fèi)用和此期間的貨物保險(xiǎn)費(fèi)用。
F、若載運(yùn)船舶如期抵達(dá)裝運(yùn)港,賣方因備貨未妥而影響裝船,則空艙費(fèi)和滯期費(fèi)均由賣方承擔(dān)。
G、貨物越過(guò)船舷之前,一切費(fèi)用和風(fēng)險(xiǎn)由賣方承擔(dān);貨物越過(guò)船舷之后,一切費(fèi)用和風(fēng)險(xiǎn)屬買方。
。2)CFR和CIF條款:
賣方于本合同第六條規(guī)定的裝運(yùn)日期前天,以電報(bào)/信件把交貨預(yù)定期、合同號(hào)、品名、發(fā)票金額等通知買方。貨物交辦發(fā)運(yùn),賣方即刻以電報(bào)/信件將合同號(hào)、品名、發(fā)票金額、交辦日期通知買方,以便買方及時(shí)投保。
第十三條.允許/不允許部分裝運(yùn)或轉(zhuǎn)運(yùn)。
第十四條.賣方有權(quán)在 %數(shù)量?jī)?nèi)溢裝或短裝。 第十五條.質(zhì)量保證:
賣方保證:所供貨物,其質(zhì)量、規(guī)格和工藝符合本合同所作的說(shuō)明,標(biāo)明商標(biāo)的貨物包裝為新的和未經(jīng)使用的。保證期為自貨到目的港卸貨完畢之日起12個(gè)月。在質(zhì)量保證期內(nèi),凡因設(shè)計(jì)、制造工藝和所有材料而產(chǎn)生的缺陷,賣方應(yīng)自負(fù)費(fèi)用進(jìn)行修理或更換貨物。
第十六條.檢驗(yàn):
在貨物運(yùn)抵最終目的地后,買方有權(quán)向向貨物檢驗(yàn)機(jī)構(gòu)申請(qǐng)對(duì)貨物進(jìn)行檢驗(yàn)。檢驗(yàn)機(jī)構(gòu)為中華人民共和國(guó)進(jìn)出口商品檢驗(yàn)局。
第十七條. 索賠:
自貨到目的港起天內(nèi),經(jīng)發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量、重量、包裝、安全或衛(wèi)生條件與合同規(guī)定不符者,除應(yīng)由保險(xiǎn)公司或船方承擔(dān)的部分外,買方可憑前條規(guī)定的`檢驗(yàn)機(jī)構(gòu)所出具的商品檢驗(yàn)證書,有權(quán)要求更換或索賠。賣方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買方。
貨到目的港起12個(gè)月內(nèi),使用過(guò)程中由于材料質(zhì)量和工藝問(wèn)題而出現(xiàn)的損傷,買方應(yīng)當(dāng)立即以書面形式通知賣方并出具前條規(guī)定的檢驗(yàn)機(jī)構(gòu)開(kāi)列的檢驗(yàn)證書,提出索賠,賣方應(yīng)當(dāng)承擔(dān)違約責(zé)任。賣方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買方。
第十八條. 不可抗力:
。1)在貨物制造和裝運(yùn)過(guò)程中,由于不可抗力的原因(如戰(zhàn)爭(zhēng)、嚴(yán)重火災(zāi)、水災(zāi)、臺(tái)風(fēng)和地震或其他由雙方認(rèn)可的事件)致使延期交貨或不能交貨,賣方概不負(fù)責(zé)。賣方于不可抗力事件發(fā)生后,應(yīng)立即通知買方并在事發(fā) 天內(nèi),以航空郵件將事故發(fā)生所在地當(dāng)局簽發(fā)的證書寄交買方以作證據(jù)。
。2)在此情況下,買賣雙方應(yīng)當(dāng)根據(jù)具體情況確定合同是否能夠繼續(xù)履行以及賣方是否仍有責(zé)任采取必要措施促使盡快交貨。
。3)不可抗力事故發(fā)生后超過(guò) 天而合同尚未履行完畢,買方有權(quán)解除合同。
第十九條.合同延期和罰款:
除本合同十八條所述不可抗力原因外,賣方若不能按合同規(guī)定如期交貨,應(yīng)當(dāng)提前 通知買方,買方可同意延期交貨,且可以同時(shí)相應(yīng)減少議定的貨款支付金額,并通知付款銀行相應(yīng)減少議定的支付金額。該減少的部分作為合同延期履行的違約金,但違約金數(shù)額不得超過(guò)遲交貨物總額的5%。賣方若逾期10個(gè)星期仍不能交貨,買方有權(quán)解除合同,且有權(quán)要求賣方如期支付上述違約金。
第二十條.合同爭(zhēng)議的解決方式:
凡涉及本合同或因執(zhí)行本合同而發(fā)生的一切爭(zhēng)議,應(yīng)通過(guò)友好協(xié)商解決,如果協(xié)商不能解決,則可提交中國(guó)-西安仲裁委員會(huì)根據(jù)該會(huì)的仲裁規(guī)則和程序進(jìn)行仲裁。仲裁將在西安進(jìn)行,仲裁裁決是終局的,對(duì)雙方都有約束力。仲裁費(fèi)用由仲裁庭決定具體承擔(dān)。
第二十一條.附加條款: (1)法律適用: 本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人時(shí),適用中華人民共和國(guó)法律,除此規(guī)定外,適用《聯(lián)合國(guó)國(guó)際貨物銷售公約》/ 。

11.合同的完整性與轉(zhuǎn)讓:
complete contract and asignment:
(a)本合同中的條件和條款構(gòu)成買賣雙方(以下簡(jiǎn)稱“雙方”)對(duì)合同項(xiàng)下貨物的全部和最終理解。對(duì)本合同的任何修改、補(bǔ)充或?qū)贤魏螚l款的免除,均必須經(jīng)受約束方書面確認(rèn),否則無(wú)效。

12.擔(dān)保:

13.許可證、關(guān)稅和稅收:

except as otherwise provided herein , all import permits and licenses and the import duties, customs fees and all taxes levied by any government authority other than the seller ’s country shall be the sole responsibility of the buyer.
14.不可抗力:
force majeure:
如果賣方遇到人力不可抗拒事件,包括但不限于火災(zāi)、水災(zāi)、地震、臺(tái)風(fēng)、自然災(zāi)害以及任何其他賣方不能合理控制的任何意外事故和情況,阻止、妨礙或干擾了本合同的履行時(shí),本合同規(guī)定的賣方履約時(shí)間應(yīng)自動(dòng)延長(zhǎng),其延長(zhǎng)年時(shí)間應(yīng)相當(dāng)于因人力不可抗拒事件直接地或間接地使賣方不能履行本合同的時(shí)間。受不可抗力事件影響的賣方應(yīng)在合理的時(shí)間內(nèi),用電報(bào)或電傳將不可抗力事件的發(fā)生通知買方,并于__個(gè)月內(nèi)將有關(guān)當(dāng)局出具的有關(guān)不可抗力事件的證明航寄買方。

15.索賠
claims:

在任何情況下,賣方對(duì)利潤(rùn)損失、時(shí)間延誤、商譽(yù)損害或其他由此而引起的任何特殊或間接損失概不負(fù)責(zé)。

After signing this agreement, if either Party A or Party B or both paties fail to carry out this agreement, leading to the Shanghai Real Estate Sale & Purchase Contract not able to be signed, the party in breach of the agreement shall pay the penalty to Party C. The penalty is 2% of the actual price as contained in Article 2 of this agreement.

Force Majeure:
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. Force Majeure :

9. The Lessor agrees that he shall not increase the rent for a period of 2 years from the date of this contract signing.

10. The Lessor agrees that upon expiration of this contract at the end of the lease period, the Lessor shall allow the Lessee to continue leasing for another period of___years, on condition that the Lessee has not breached this contract in any way.

11. The Lessee agrees to maintain the leased building in good condition and not allow it to further deteriorate. Any modifications or additions carried out on the leased building by the Lessee may be done only with the Lessors prior written permission. Any new structure resulting from modification, addition or repair to the leased building becomes the property of the Lessor, and the Lessee cannot claim any damages. This lease contract is terminated should the leased building be subject to a fire disaster.

12. The Lessee shall permit the Lessor or his representative to enter the leased building for inspection at appropriate times.

13. The Lessee shall not sub-let the building to any other persons, except with the prior written approval of the Lessor.
除非事先有出租人的書面許可,承租人不得把該房再出租給其他任何人。
14. For whatever reason, if the Lessee leaves the leased building, the Lessee agrees that he shall not claim any damages or removal costs from the Lessor.
不論出于何種原因,如果承租人離開(kāi)所租房屋,承租人同意不得向出租方提出索賠或搬遷費(fèi)的要求。
15. Breach of contract in any regard on the part of the Lessee shall be grounds for the Lessor to terminate this contract immediately; the Lessee shall then permit the Lessor to have right to repossess the leased building immediately.

一、 出租人: (以下簡(jiǎn)稱“甲方”)

Party A hereby represents that it is the legal owner of the 【 】Apartment, guang hua lu SOHO (hereinafter “the Premises”), which construction area is 【 】square meters, and agrees that it will lease the Premises and the facilities therein, which are in clean and tenantable condition to Party B for use as office(s) only.
四、 租賃期:

4.2 租期屆滿,甲方有權(quán)收回全部房屋,乙方應(yīng)在租期屆滿日或之前,以甲方交付時(shí)狀態(tài)或雙方共同認(rèn)可的狀態(tài)將房屋完好交還甲方。
Upon expiry of this lease, Party A has the right to take back the entire Premises , and Party B shall return the Premises on or prior to the date of expiry in the same condition as it is delivered or the other condition the parties agree to Party B by Party A .
4.3 租期屆滿,乙方如要求續(xù)租,應(yīng)在本合同期限屆滿前兩個(gè)月提出書面申請(qǐng),取得甲方同意后,甲、乙雙方須另行簽署租賃協(xié)議。
If Party B wishes to renew the lease, party B shall submit a written application to Party A two months prior to the expiry of this lease, and a lease agreement shall be concluded between the parties separately subject to Party A‘s consent.
五、 免租期(含裝修期)
Grace Period (including the decoration period )

Telephone Service:
電話號(hào)碼由乙方自行申請(qǐng),電話費(fèi)按電信局的收費(fèi)標(biāo)準(zhǔn), 每月按實(shí)際通話次數(shù)/時(shí)間結(jié)算,乙方按單繳付。
The telephone number shall be applied by Party B and the call charge shall be paid in accordance with the rate of the telecommunication authority. Party B shall pay the call charge actually incurred each month.
6.3其它費(fèi)用:

在租賃期內(nèi),乙方承租單元所用的電由大廈的物業(yè)管理機(jī)構(gòu)每月按實(shí)際耗用量結(jié)算,乙方按單繳付。免租期內(nèi)承租單元所用的電費(fèi)由乙方支付。
During the lease term, the electricity consumed in the Premises shall be paid by Party B to the Management Department in accordance with the actual consumption appeared on the bill of the Management Department. Party B shall pay for the electricity consumed in the Premises during the Grace Period
七、支付方式:
Payment:
7.1 租金應(yīng)按 預(yù)付,免租期屆滿后,乙方于應(yīng)付款月的第【 】號(hào)前向甲方支付下期租金。
The rent shall be paid on basis. After expiration of the Grace Period, Party B shall pay for the rent before the【 】 day of the current .
7.2 其他各項(xiàng)費(fèi)用:(包括但不限于)水費(fèi)、電費(fèi)由乙方按大廈物業(yè)管理機(jī)構(gòu)每月提供的交費(fèi)通知單按時(shí)交付。
Miscellaneous charges: Party B shall pay for the water and electricity on time to the Management Department according to the bills issued by the Management Department each month.
八、幣種和帳戶:
Currency and Account:
乙方應(yīng)按甲方指定的帳戶支付本合同項(xiàng)下所有的到期款項(xiàng),所有付款以人民幣計(jì)算,以人民幣支付。
Party B shall pay the rent and all other amounts due and payable in RMB to the account designated by Party A.
九、保證金:
Deposit:
9.1 自本合同簽訂之日起 日內(nèi),乙方應(yīng)向甲方繳付相當(dāng)于【 】個(gè)月的租金計(jì)人民幣【 】元作為保證金及首期租金人民幣【 】元,共計(jì)人民幣【 】元。

9.2本合同期滿,如本合同不續(xù)租,甲方應(yīng)在期滿后三十(30)天內(nèi)返還保證金(不計(jì)利息)如乙方因違約而導(dǎo)致違約金、賠償金、費(fèi)用和/或乙方尚未支付任何應(yīng)付款項(xiàng),甲方可從保證金中扣除此類違約金、賠償金、費(fèi)用和/或未付款項(xiàng)。
Upon expiration of the Lease Agreement, if the Lease Agreement is not to be renewed, Party A shall refund the deposit without interest to Party B within thirty (30) days after the expiration of this Lease Agreement. If there is any default penalty or compensation or expenses incurred due to the breach of Party B and/or any due amount that Party B fails to pay, Party A may deduct such default penalty or compensation or expenses or due amount from the deposit.
9.3在本合同期限內(nèi),如有任何應(yīng)由乙方支付的違約金、賠償金、費(fèi)用和/或其他應(yīng)付款項(xiàng),甲方可直接從保證金中予以扣除,乙方應(yīng)在接到甲方書面通知后五(5)天內(nèi)補(bǔ)足該部分保證金。
During the lease term, if there is any default penalty, compensation or expense and/or any other due amount that shall be paid by Party B, Party A may deduct such amount from the deposit and Party B shall, within five (5) days after Party A so notifies.
十、大廈及承租區(qū)域的交付狀態(tài):
The state of the Premises when delivery :
甲方按現(xiàn)狀交樓,具備辦公條件。
Party A will deliver the Premises at as-it-is basis, which satisfies the conditions as office.
十一、甲方的權(quán)利義務(wù):
Party A‘S RIGHTS AND RESPONSIBILITES:
11.1甲方在本租賃合同規(guī)定的期限內(nèi)將房屋交付乙方。
Party A shall deliver the Premises to Party B within the term specified herein.
11.2甲方保證是房屋的合法權(quán)利人,有充分的權(quán)利出租房屋。
Party A shall ensure that it is legal owner of the Premises and have full right to lease the Premises.
11.3甲方的權(quán)利保留Party A may reserve the following rights.
11.3.1 使用公共設(shè)施;to use the public facilities;
11.3.2 進(jìn)入房屋內(nèi)對(duì)公共設(shè)施進(jìn)行檢查和維修。甲方行使該項(xiàng)權(quán)利時(shí),應(yīng)提前通知乙方,緊急情況除外。
to enter into the Premises for check and maintenance provided that Party A shall inform Party B in advance except under emergency.
11.3.3 在發(fā)出通知后(緊急情況除外),有權(quán)暫停大廈設(shè)施進(jìn)行維修和維護(hù),可能導(dǎo)致水電的中斷。甲方無(wú)需為此承擔(dān)責(zé)任。
To repair and maintain the facilities of the building which may result in the suspension of water and electricity, upon a notice (except under emergency) without any liability thereof.
11.4 甲方應(yīng)協(xié)助提供乙方提供辦理工商營(yíng)業(yè)執(zhí)照所需相關(guān)證明文件。
Party A shall assist Party B in registering with industrial and commercial administration by provide necessary documents.
11.5甲方在承租期內(nèi)促使物業(yè)管理機(jī)構(gòu)提供水、電、空調(diào)、供暖及日常房屋維修。
Party A shall procure the Management Department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period.
11.6 如在租賃期屆滿前兩個(gè)月,乙方未提出續(xù)租請(qǐng)求,或者雖然提出續(xù)租請(qǐng)求,但雙方在三十天內(nèi)未就續(xù)租合同條款達(dá)成一致,甲方有權(quán)在工作時(shí)間帶領(lǐng)其他租戶進(jìn)入房屋查看。
If Party B does not submit an application for renewal two months prior to the expiration of this Lease Agreement, or if Party B submits such application but the parties fail to reach agreement on the renewal, Party A shall have the right to enter the Premises with other tenant at work hours to review.
十二、乙方的權(quán)利和義務(wù)
Party B‘S RIGHTS AND RESPONSIBILITES:
12.1 自行負(fù)責(zé)房屋的裝修和設(shè)施。
Party B shall be responsible for the decoration and facilities of the Premises.
除非經(jīng)消防局及甲方同意,乙方不得對(duì)房屋的主要結(jié)構(gòu)及裝置(包括噴淋頭)作任何變動(dòng)、拆除或調(diào)整。如乙方擅自做任何變動(dòng),應(yīng)負(fù)責(zé)將其恢復(fù)原狀并承擔(dān)一切費(fèi)用和相關(guān)責(zé)任。
Party B shall not alter, change, dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of Party A and fire control authority. If Party B makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all expenses and related liabilities.
12.2乙方應(yīng)根據(jù)本合同第六、七、八條的規(guī)定按時(shí)繳納租金及各項(xiàng)相關(guān)費(fèi)用。
Party B shall pay the rent and other fees pursuant to Clauses 6, 7, and 8 on time.
12.3乙方應(yīng)按本合同的規(guī)定合理使用房屋,并保持房屋的'清潔。
Party B shall reasonably use the Premises as provided hereunder and keep it clean.
12.4未得到甲方及大廈管理機(jī)構(gòu)的事先同意,乙方不得在窗外、外墻、
公共走廊墻面、電梯間及其它共用區(qū)域懸掛、張貼、附置或以其它方式放置任何廣告、標(biāo)識(shí)、招貼或其它資料。
Party B shall not hang, affix, or display any advertisement, signboard, poster or any other materials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of Party A and Management Department.
12.5 乙方在承租期內(nèi)不得將全部或部分房屋轉(zhuǎn)租、分租或借予第三方。
During the lease term , Party B shall not sub-let or assign the lease to any third party.
12.6 乙方在其經(jīng)營(yíng)活動(dòng)中,不得宣稱或令顧客誤認(rèn)為其與甲方關(guān)系屬合作、合營(yíng)、合伙、聯(lián)營(yíng)或關(guān)聯(lián)企業(yè)關(guān)系。
Party B shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with Party A during its operation.
12.7乙方應(yīng)自行獲取依據(jù)法律法規(guī)和政府有關(guān)部門規(guī)定應(yīng)具備的所有許可、批準(zhǔn)和證照,保證其營(yíng)業(yè)活動(dòng)的合法性。
Party B shall be responsible for obtaining all approvals, consents and licenses required by laws to ensure that its operation is legal.
12.8乙方應(yīng)自行承擔(dān)由于乙方工商注冊(cè)、稅務(wù)登記、遷址等行為所產(chǎn)生的稅、費(fèi)。
Party B shall be responsible for any and all taxes, fees and expenses incurred for its industrial and taxation registrations and moving into the Premises.
12.9對(duì)于第三方因乙方對(duì)其造成或在房屋內(nèi)發(fā)生的人身傷害或經(jīng)濟(jì)損失而提出的索賠,乙方應(yīng)自行負(fù)責(zé)并保證甲方免于此類索賠。如甲方因此類索賠而遭受損失,乙方保證進(jìn)行賠償。
Party B shall be responsible for and hold Party A harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by Party B or caused in the Premises. Party B hereby warranties that it shall indemnity Party A for any losses caused to Party A by such claims.
12.10乙方不得在房屋內(nèi)放置易燃、易爆的物品其他危險(xiǎn)物品。
Party B shall not keep or store in the Premises any flammable or explosive substances or other dangerous substances.
12.11乙方應(yīng)嚴(yán)格遵守甲方和/或大廈物業(yè)管理機(jī)構(gòu)制定并不時(shí)修改的大廈所有管理規(guī)定。
Party B shall strictly comply with all rules made and amended from time to time by Party and/or the Management Department.
12.12 乙方不得在房屋內(nèi)從事任何違法活動(dòng)。
Party B shall not carry out any illegal activity in the Premises.
12.13乙方不得將房屋用于除辦公以外的用途。
Party B shall not use the Premises for any purpose other than as office.
12.14若乙方以租賃房屋作為其公司注冊(cè)地址時(shí),乙方應(yīng)在租賃合同終止后15日內(nèi)辦理地址注銷登記手續(xù),乙方逾期辦理的,應(yīng)每日按月租金千分之三的標(biāo)準(zhǔn)向甲方支付滯納金,造成甲方損失的,應(yīng)予以賠償。
If the Premises is used as company‘s registered address of Party B, Party B shall complete the procedures of writing off the registered address within 15 days after termination of the contract. If Party B is not able to complete the procedures on time , it shall pay Party A a penalty equal to 3‰ of the monthly rent per day of delay. Party B shall compensate for such loss.
十三、違約責(zé)任與合同終止
BREACH AND TERMINATION
13.1違約
任何一方違反合同給另一方造成損失的,應(yīng)當(dāng)進(jìn)行賠償。
If a party is in breach of this Lease Agreement, it shall compensate the other party for any losses cause by its breach.
13.2在下列任何情況下,本合同終止
This Lease Agreement will be terminated under any of the following conditions:
13.2.1租賃期限屆滿:
The expiration of this Lease Agreement
13.2.2 當(dāng)一方違反本合同中任何規(guī)定,并且另一方書面通知要求其予以糾正的三十(30)日內(nèi)未能糾正違約行為或者如果該違約是無(wú)法糾正的,守約方有權(quán)立即終止本合同。
by one of the Parties, with immediate effect, when the other Party is in breach of this Lease Agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach sends a written notice requesting the cure of such breach;
13.2.3甲方可以提前六十(60)天的書面通知提前終止本合同,但應(yīng)雙倍返還乙方保證金。
Party A may terminate this Lease Agreement with a sixty (60) day prior written notice provided that it shall refund the deposit in double amount.
13.2.4如乙方延期支付租金和/或其他各項(xiàng)款項(xiàng)超過(guò)十(10)日,甲方有權(quán)解除合同,保證金不予退還。乙方除應(yīng)支付延期款項(xiàng)外,還應(yīng)支付逾期付款違約金,數(shù)額延期支付金額的0.5%/日,直至乙方全額付清為止。
If Party B delays the payment of rent and/or other amounts for ten (10) days, Party A shall have the right to terminate this Lease Agreement and the deposit shall not be refunded. Party B shall pay a default penalty for the overdue amount at the rate of 0.5% of the overdue amount per day until it pays in full amount, in addition to pay all the overdue amounts.
13.2.5 如乙方不遵守大廈管理規(guī)定并嚴(yán)重影響其他租戶正常經(jīng)營(yíng),甲方可以書面通知乙方提前終止本合同,并且保證金不予返還。
If Party B does not comply with the management rules of the building and therefore seriously affects the normal operation of other tenants, Party A may terminate this Lease Agreement in advance with a written notice and the deposit shall not be refunded.
13.2.6 如乙方在房屋內(nèi)從事任何違法活動(dòng)或未按照辦公用途使用房屋,甲方有權(quán)立即書面通知乙方提前終止本合同,保證金不予返還。
If Party B carries out any illegal activity in the Premises or use the Premises for other purpose than office, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.
13.2.7 如乙方將房屋分租或轉(zhuǎn)租第三方,甲方有權(quán)以書面通知立即終止合同,并且保證金不返還。
If Party B sublets or assigns the lease to a third party, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.
13.2.8 不可抗力Force Majeure
一方因不可抗力事件連續(xù)六十天(60)不能履行義務(wù),任何一方可以書面通知終止本合同,在不可抗力的影響范圍內(nèi)受影響的一方不承擔(dān)違約責(zé)任!安豢煽沽Α卑ㄗ匀粸(zāi)害、爆炸、飛行物體墜落、政府行為(但專門針對(duì)受影響一方的行政行為除外)等受影響的一方不能預(yù)見(jiàn)、不能控制并且不可避免的事件。雙方在此明確但商業(yè)性風(fēng)險(xiǎn)不應(yīng)作為不可抗力。受影響的一方應(yīng)在不可抗力事件發(fā)生后的五(5)日內(nèi)書面通知對(duì)方,并且應(yīng)附有有權(quán)機(jī)構(gòu)出具的不可抗力發(fā)生的證明。
Either Party may terminate this Lease Agreement with a written notice if one party is not able to perform its obligations hereunder for consecutive sixty (60) days due to force majeure. The affected party shall not bear the liability of breach of contract to the extent of the effect of the force majeure. Force Majeure shall include such events that the affected party is not able to foresee, control and avoid as natural disaster, explosive, falling of flying objects, government action (except those specially against the affected party) The parties hereby confirm that commercial risk shall not be deemed force majeure. The affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.
13.2.9一方進(jìn)入破產(chǎn)、清算、解散或任何類似程序,另一方可以終止本合同,但以善意管理費(fèi)用或合并為目的的除外。
One party may terminate this Lease Agreement if the other party launches the bankruptcy, liquidation, winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation.
13. 3 合同終止的后果 The result of the termination
13.3.1 如本合同屆滿并且未由乙方續(xù)租,乙方須于屆滿之日的17點(diǎn)之前騰空房屋;如本合同因任何原因提前終止,乙方應(yīng)于終止日后的三日內(nèi)騰空房屋。如乙方未能在此期間騰空房屋,由乙方應(yīng)按日支付房租,逾期十日以上(包括十日),乙方應(yīng)按雙倍房租支付。如因此給甲方造成經(jīng)濟(jì)損失(包括因未能向下一租戶及時(shí)交付房屋而導(dǎo)致的違約金和租金收入),還應(yīng)賠償損失。
If this Lease Agreement is expired without the renewal of Party B, Party B shall vacant the Premises by 5pm on the date of expiration; if this Lease Agreement is terminated in advance for whatever reason, Party B shall vacant the Premises within three (3) days after the termination date. If Party B fails to vacant the Premises within the aforesaid period, it shall pay rent for each day of delay. If the delay is over ten (10) day (inclusive), Party B shall pay the rent in double amount. If there is any economic loss caused to Party A including the penalty for not delivering the Premises to next tenant on time and rent loss, Party B shall compensate such loss.
13.3.2乙方還應(yīng)拆除裝修和清理房屋(甲方同意保留裝修的除外),以甲方交付之時(shí)的狀態(tài)或雙方共同認(rèn)可的狀態(tài)將房屋交還甲方(正常損耗除外)歸還房屋時(shí)留在房屋內(nèi)的所有設(shè)施、裝修及物品均視為乙方放棄所有權(quán),甲方可隨意處置。如乙方未將房屋恢復(fù)原狀,甲方可自行恢復(fù)原狀,乙方需支付全部費(fèi)用,可由甲方從保證金中扣除。
Party B shall also dismantle the decoration (Except for the decoration that Party A agrees to retain)and clean the Premises so that the Premises will be returned to Party A in the same condition as when delivered to Party B or (fair tear and wear is excepted) Party B shall be deemed waiving the title of all facilities, decoration and staff left the Premises when the Premises is returned to Party A and Party A may dispose them in any way. If Party B fails to restore the Premises to the condition of delivery, Party A may restore the Premises to the condition of delivery and Party B shall bear all expenses thereof, which may be deducted from the deposit by Party A.
13.3.3除因乙方違約造成合同終止的情況以及本合同有不同規(guī)定的情況以外,甲方應(yīng)將保證金返還乙方。
Party A shall refund the deposit to Party B except the termination is caused by the breach of Party B and otherwise provided hereunder.
13.3.4 乙方應(yīng)支付全部應(yīng)付費(fèi)用,包括房租、水電費(fèi)、電話費(fèi)等。
Party B shall pay in full amount all the due payment including rent, water and electricity fee and telephone call charge.
13.3.5 雙方應(yīng)按下列程序進(jìn)行交接房屋。
The parties shall take over the Premises in accordance with the following procedure.
十四、附則
14.1 爭(zhēng)議的解決 Dispute Resolution
因執(zhí)行本合同或與本合同有關(guān)的一切爭(zhēng)議,雙方應(yīng)通過(guò)友好協(xié)商解決。協(xié)商不成的,則任何一方有權(quán)將爭(zhēng)議提交北京仲裁委員會(huì)仲裁裁決。仲裁程序應(yīng)遵照仲裁委員會(huì)的現(xiàn)行仲裁規(guī)則進(jìn)行。仲裁期間,雙方應(yīng)繼續(xù)執(zhí)行本合同不涉及爭(zhēng)議的部分。
Any disputes arising from the execution of or in connection with this Lease Agreement shall be settled through friendly consultations between the parties. In case no settlement can be reached through consultations, such dispute shall be submitted to Beijing Arbitration Committee in accordance with its Rules. During the arbitration, the Parties shall continue to perform the part of this Lease Agreement not under dispute.
14.2 合同的修改The amendment of this Lease Agreement
對(duì)本合同只可通過(guò)雙方書面修改。
This Lease Agreement may be changed only by a written instrument signed by parties.
14.3 可分性 Severability
本合同任何條款無(wú)效,不影響其他條款的效力。
The invalidity of any part of this Lease Agreement shall not affect the validity of other clauses.
14.4 文字
本合同以中文簽署。英文文本只做參考,不具有法律效力。
This Lease Agreement shall be wrote in Chinese. The English version is only for reference without legal effect.
14.5 全部協(xié)議 Entire Agreement
本合同有其附件構(gòu)成雙方之間就本合同所涉事項(xiàng)達(dá)成的全部協(xié)議,取代雙方此前就合同事項(xiàng)達(dá)成的所有口頭和書面協(xié)議。
This Lease Agreement constitutes the entire contract between the Parties with respect to the subject matter of this Lease Agreement and supersedes all prior understandings between them on such subject matter.
14.6 通知 Notice
任何一方根據(jù)本合同發(fā)出的通知或其他聯(lián)系應(yīng)以中文書寫并應(yīng)通過(guò)專人送遞或掛號(hào)郵寄或以公認(rèn)的快遞服務(wù)或以傳真(應(yīng)當(dāng)有發(fā)送成功的報(bào)告)發(fā)送至另一方的下述地址。通知視為有效送達(dá)的日期按以下方法予以確定:
Any notice provided for in this Lease Agreement shall be in Chinese and shall be delivered by person, or sent by prepaid registered mail or courier, or sent by facsimile with the confirmation of successful transmission by the fax machine, transmitted or addressed to the appropriate party‘s following address. The notice shall be deemed served on the following date:
14.6.1專人投遞的通知,視為于投遞之日送達(dá);

3. Written translation service, incl. commercial documents and related product information

4. Local market research and report市場(chǎng)調(diào)查與報(bào)告
5. Sourcing support, incl. sample collection and delivery
尋找供貨商/貨源并按照甲方要求收集、交付樣品
6. Purchasing Support (if Party B receives the formal order from Party A) - production status track & update, quality inspection & acceptance, storage and shipping arrangement (incl. document preparation, custom clearance and other necessary support for both sea and air shipment.) A sales contract shall be entered between the Parties for such purchasing support and the sales contract shall prevail in case of any discrepancy.

quotation shall apply.

Party B shall issue invoice to Party A according to the quotation confirmed by Party A. Party A
shall pay the amount indicated in the invoice before receiving service from Party B.

Article 3: Confidentiality 第三條:保密
In performance of the services under this contract, Party B may receive proprietary and confidential information from Party A. All such information shall be safeguarded and not be disclosed to third parties without approval by Party A.

Article 4 Entire Agreement & Amendment 第四條:完整性與修改
This Contract and its Appendices (including but not limited to quotation) constitute the final, complete and exclusive statement of the contract of the parties with respect to the subject matter thereof. It supersedes all prior communications, understandings and agreements relating to the subject matter hereof, whether oral or written. No modification or claimed waiver of any provision
of this Contract shall be valid except by written amendment signed by authorized representatives of the parties through negotiation.

Article 5 Dispute Resolution 第五條:爭(zhēng)議解決
If any dispute or difference of whatsoever kind shall arise in connection with or arising out of this
Contract, the Parties shall solve attempt to resolve such dispute through friendly consultations. If
such attempt fails, either party shall be entitled to submit the dispute to China International Economic and Trade Arbitration Commission.
任何與本合同相關(guān)或起于本合同的爭(zhēng)議或異議,雙方應(yīng)嘗試以友好協(xié)商方式解決。如上述方式無(wú)效,任一方均可向中國(guó)經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)提請(qǐng)仲裁解決。
Article 6: Language 第六條:語(yǔ)言
This contract shall be written in both Chinese and English. Both language versions are equally authentic. In the event of any discrepancy between the two aforementioned versions, the English version shall prevail.

到期, 否則賣方有權(quán)取消本售貨合約并保留因此而發(fā)生的一切損失的索賠權(quán) .
The covering Letter of Credit must reach the Sellers 45 Days Prior to the Shipment Date
and is to remain valid in above indicated Loading Ports 15 days after the date of shipment, failing
which the Sellers reserve the right to cancel this Sales Contract and to claim from the Buyers
compensation for losses resulting therefrom.

。1)異議 : 品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出,數(shù)量異議須于貨到目的口岸之日 ALL RISK AND WAR RISK COVERED BY BUYER
起15天內(nèi)提出。 但均須提供經(jīng)賣方同意的公證行的檢驗(yàn)證明. 如責(zé)任屬于賣方者賣方于收到異議20天內(nèi)答復(fù)買方并提出處理意見(jiàn).
QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shou
ld be filed by the Buyers within 30 days after the arrival of the goods at port of destination, while for quantity discrepancy claim should be filed by the Buyers within 15 days after the arrival of the goods at port of destination. In all cases, claims must be accompanied by Survey Reports of Recognized Public Surveyors agreed to by the Sellers. Should the responsibility of the subject under claim be found to rest on part of the Sellers, the Sellers shall, within 20 days after receipt of the claim, send his reply to the Buyers together with suggestion for settlement..

The Sellers reserve the option of shipping the indicated percentage more or less than the quantity hereby contracted, and the Letter of Credit shall be negotiated for the amount covering the value of quantity actually shipped. (The Buyers are requested to establish the L/C in accord with the indicated percentage over the total value of order as per this Sales Contract.)
。3)信用證內(nèi)容須嚴(yán)格符合本售貨合約的規(guī)定,否則修改信用證的費(fèi)用由買方負(fù)擔(dān),賣方亦 不負(fù)因修改信用證而延誤裝運(yùn)的責(zé)任。并保留因此而發(fā)生的一切損失的索賠權(quán)。
The contents of the Letter of Credit shall be in strict accordance with stipulations of the Sales Contract; in case of any variation thereof necessitating amendment of the L/C, the Buyers shall bear the expenses for effecting the amendment. The sellers shall not be held responsible for possible delay of shipment resulting from awaiting the amendment of the L/C, and reserve the right to claim from the Buyers compensation for the losses resulting therefrom..
。4)除經(jīng)約定保險(xiǎn)歸買方投保者外,由賣方向中國(guó)的保險(xiǎn)公司投保。如買方須增加保險(xiǎn)額或 須加保其他險(xiǎn),可于裝船前提出,經(jīng)買方同意后代為投保,其費(fèi)用由買方負(fù)擔(dān)。
Except where the insurance is covered by the Buyers as arranged, insurance is to be covered by the Sellers with a Chinese insurance company. If insurance for additional amount and/or for other insurance terms is required by the Buyers, prior notice to this effect must reach the Sellers before shipment and is subject to the Sellers’ agreement, and the extra insurance premium shall be for the Buyers’ account..
。5)買方須將申請(qǐng)?jiān)S可證副本(經(jīng)有關(guān)銀行副署)寄給賣方俟許可證批出后再即用傳真通知
賣方,假如許可證被駁退,買方須征得賣方的同意方可重行申請(qǐng)?jiān)S可證。
The Buyers are requested to send the Sellers authentic copy of the License-application (endorsed by the relative bank) filed by the Buyers and to advise the Sellers by fax immediately when the said License is obtained. Should the Buyers intend to file reapplication for License in cases of rejection of the original application, the Buyers shall contact the Sellers and obtain the latter’s consent before filing reapplication..

。7)因人力不可抗拒事故,使賣方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨,賣方不負(fù)
責(zé)任,但是賣方必須立即以傳真通知買方,如果買方提出要求,賣方應(yīng)以掛號(hào)函向買方提供由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的證明,證明事故的存在。買方不能領(lǐng)到進(jìn)口證不能被認(rèn)為系屬人力不可抗拒范圍。
The Sellers shall not be held responsible if they owing to Force Majeure cause or causes fail to make
delivery within the time stipulated in this Sales contrast or cannot delivery the goods. However the Sellers shall inform immediately the Buyers by fax. . The Sellers shall delivery to the Buyers by registered letter, if it is requested by the Buyers, a certificate issued by the China council for the Promotion of International Trade or by any competent authority, certifying to the existence of the said cause or causes. Buyers’ failure to obtain the relative Import license is not to be treated as Force Majeure.

1. RENT CONTENT

1.1 LOCATION: Part B rent the shop located on__________________ from Part A for commercial business purposes. The shop is the legal property owned by Part A, and showed the property ownership certificate (or other certificate can prove the Part A have the rights to rent the shop legally),identifications and other documents which needed for law; Party B should also provide identification. The two parties can copy each other documents for
keeping. All copies can use for the rent affairs only, and can not be used for any other purpose.

第二條 租賃期限
2. TERM OF CONTRACT
2.1 租賃期限:甲乙雙方商定,租賃期限自__年__月__日起至24:00止,共力影響導(dǎo)致的合同終止情形外,任何一方不得破壞租賃期限的完整和連續(xù)。 2.1 CONTRACT PERIOD: After both parties agreed, the term of contract is: stcontract terminated and the force majeure due to the influence of the contract to be terminated, either parties can not destroy the integrity and continuity of the contract.

2.3 續(xù)租:合同期滿后,甲方如繼續(xù)出租該商鋪,則同等條件下,乙方可享有優(yōu)先承租權(quán)。乙方如有意續(xù)租,可于合同期滿前30天向甲方提出,雙方另行協(xié)商,訂立新的租賃合同。

a, 乙方利用該商鋪從事非法活動(dòng)或損害公共利益的;
b, 乙方拖欠租金超過(guò)
2.4.1 Under the follow status of Part B, Part A have the rights to terminate

2.4.2甲方有如下情形之一時(shí),乙方有權(quán)提前中止合同:
a,甲方不能提供商鋪或提供商鋪不符合條件,嚴(yán)重影響乙方正常使用; b,甲方未盡房屋修繕義務(wù),嚴(yán)重影響乙方正常使用的。

第三條 租金及其支付方式和其它費(fèi)用
3. RENTAL, MODE OF PAYMENT AND OTHER CHARGES
3.1 年租金總額:甲乙雙方商定,租賃期內(nèi)該商鋪的年租金為¥________(大寫:人民幣_(tái)____________________圓整),合同期限內(nèi)無(wú)浮動(dòng)。

第四條 招牌設(shè)置
4. SHOP SIGN SETTING
甲方同意乙方在符合國(guó)家法律、法規(guī)、政府規(guī)章和規(guī)范性文件的前提下,在租賃商鋪的室內(nèi)外安裝設(shè)置帶有其公司標(biāo)志的招牌等廣告裝置(例如帶照明的透明廣告燈箱、立牌和戶外廣告招牌等),并協(xié)助乙方做好跟物業(yè)裝修申請(qǐng)、施工以及廣告設(shè)置的交涉工作。

第五條 雙方的責(zé)任和權(quán)利
5. OBLIGATIONS AND RIGHTS
5.1 甲方的責(zé)任和權(quán)利

a,甲方應(yīng)保證所出租的商鋪及配套設(shè)施在交付乙方使用時(shí)完好并能夠正常使用;

5.2 乙方的責(zé)任和權(quán)利
a,合同有效期內(nèi),乙方對(duì)所租賃的商鋪及配套設(shè)施擁有合法使用權(quán);
a, Part B have the legal right to use the rented shop and supporting equipments during the rent period;
b,乙方應(yīng)遵守國(guó)家法律,法規(guī),依法經(jīng)營(yíng);

c,乙方不得在租賃的商鋪內(nèi)貯存危險(xiǎn)、違禁物品;
c, Part B can not store the dangers, prohibited goods in the shop;
d,乙方必須依約繳納租金及其他因經(jīng)營(yíng)產(chǎn)生的費(fèi)用,不得無(wú)故拖欠;

e,乙方在承租的商鋪內(nèi)需要安裝或者使用超過(guò)水、電表容量的任何水電設(shè)備,應(yīng)事前征得甲方同意,并由乙方負(fù)責(zé)到有關(guān)部門辦理增容手續(xù),費(fèi)用由
乙方負(fù)擔(dān);

e, When the contract be expired or terminated, all the properties owned by Part B, Part B have the rights to handle the properties, Part A can not interfere with any reason in any modality;
f,租賃期滿或者解除合同時(shí),由甲乙雙方共同檢查商鋪和配套設(shè)施,檢查無(wú)異議后,商鋪交還甲方。如發(fā)現(xiàn)有損壞的,則由乙方照價(jià)負(fù)責(zé)賠償。

第六條 出租方和承租方的變更
6. PARTIES CHANGE
6.1 產(chǎn)權(quán)人與承租人:合同期內(nèi),甲方和乙方中任何一方法定代表人(或產(chǎn)權(quán)人)變更、企業(yè)遷址、合并,不影響本合同繼續(xù)履行。變更、合并后的一方即成為本合同當(dāng)然執(zhí)行人,并承擔(dān)本合同的內(nèi)容之權(quán)利和義務(wù);

6.2 轉(zhuǎn)租:合同期內(nèi),乙方如欲將租賃的.商鋪轉(zhuǎn)租給第三方時(shí),必須事先征得甲方同意,并由三方書面確認(rèn),取得使用權(quán)的第三方成為本合同的當(dāng)然乙方,繼續(xù)履行本合同;
6.2 SUBLEASE: During contract period, if Part B want sublet the shop to other parties, should consent by Part A and get the written confirm, the party who get the using rights, will be the Part B, continue perform this contract;
6.3 甲方欲出售房屋,必須在三個(gè)月前書面通知乙方,并且要保證租賃期限的完整。
6.3 When the Part A want sell the shop, must written inform Part B at least 3 months before, and must issue the rent period in the contract.
第七條 違約及處理
7. DEFAULT AND DISPOSE
7.1 任何一方未能履行本合同規(guī)定的條款的,均視為違約;

7.2若乙方違約,甲方有權(quán)提前解除合同,并無(wú)需退還已繳納的房屋租金;

7.3若甲方違約,乙方有權(quán)提前解除合同,且甲方必須雙倍退還乙方已繳納但未完成使用期限的全部租金,并賠償乙方裝修費(fèi)。裝修費(fèi)賠償標(biāo)準(zhǔn):若第一年內(nèi)違約,賠償全部裝修款(100%),以實(shí)際裝修情況計(jì)算;若第二年違約。賠償裝修款的70%,以實(shí)際裝修情況計(jì)算;若第三年違約,賠償裝修款的50%,以實(shí)際裝修情況計(jì)算;

第八條 合同生效及糾紛處理

5.未經(jīng)乙方書面同意,不得向被調(diào)查人泄漏乙方身份及本協(xié)議內(nèi)容;
6.積極配合乙方的工作,根據(jù)乙方的需要及時(shí)提供相關(guān)信息資料及支持幫助。
第三條 乙方保證
1.自本協(xié)議簽訂日起,在委托收款取得實(shí)質(zhì)性進(jìn)展時(shí)應(yīng)及時(shí)向甲方通報(bào);
2.對(duì)甲方委托的委托收款及在調(diào)查過(guò)程中知悉的甲方的商業(yè)秘密進(jìn)行保密。
第三章 費(fèi)用及支付
第四條 甲方按如下規(guī)定向乙方支付代理傭金:
1.非風(fēng)險(xiǎn)代理:甲方應(yīng)于合同簽訂日向乙方支付前期費(fèi)用_________元,代理傭金按債權(quán)金額的_________%支付。
2.風(fēng)險(xiǎn)代理:甲方應(yīng)于收到債款后當(dāng)日向乙方支付代理傭金,傭金按收回金額的'_________%支付。
第四章 合同生效及解除
第五條本協(xié)議自甲乙雙方簽字蓋章之日起生效。
第六條如出現(xiàn)下列情況,乙方有權(quán)單方面解除本協(xié)議:
1.甲方違反其在第二章中的保證與承諾,使本協(xié)議無(wú)法或難以繼續(xù)履行;
2.甲方委托的委托收款難以確認(rèn)。
第七條如出現(xiàn)下列情形時(shí),甲方有權(quán)單方面解除本協(xié)議:
乙方違反其在第三章中的保證與承諾,使本協(xié)議無(wú)法或難以繼續(xù)履行;
第五章違約條款
第八條如任一方(“違約方”)違反本協(xié)議規(guī)定的義務(wù),違約方在收到另一方(“守約方”)要求糾正其違約行為的書面通知之日,應(yīng)立即停止其違約行為,并在_____日內(nèi)賠償守約方因此受到的所有損失。如違約方繼續(xù)進(jìn)行違約行為或不履行其義務(wù),守約方除就其所有損失而獲得違約方賠償外,亦有權(quán)單方面終止本協(xié)議。
第九條 甲方違反其在本協(xié)議第二條中的保證與承諾,無(wú)權(quán)要求乙方退還傭金,并應(yīng)承擔(dān)乙方因此而遭受的損失。
第十條 乙方違反其在本協(xié)議第三條中的保證與承諾,乙方應(yīng)向甲方退還傭金;并應(yīng)承擔(dān)甲方因此而遭受的損失。
第十一條 乙方因本協(xié)議第六條規(guī)定事由單方面解除本協(xié)議收取的前期費(fèi)用不予退還。
第十二條 甲方若不能按規(guī)定時(shí)間向乙方支付傭金,每逾期一天應(yīng)向乙方支付____‰的滯納金。
第十三條 因不可抗力致本協(xié)議無(wú)法履行的,雙方都不承擔(dān)責(zé)任。
第六章 爭(zhēng)議解決
第十四條 如果甲乙雙方就本合同發(fā)生糾紛應(yīng)協(xié)商解決,協(xié)商不成任何一方均有權(quán)向_________申請(qǐng)仲裁或提起訴訟。
第七章 其它
第十五條 本協(xié)議未盡事宜,由甲乙雙方協(xié)商解決。
第十六條 本協(xié)議附件為合同的有效組成部分,具有同等法律效力。
第十七條 本協(xié)議一式兩份,雙方各執(zhí)一份,具同等法律效力。
